1. Agreement to Terms

By accessing or using NuraVolt services provided by Mokum Tech Ventures IT Consultants FZCO ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.

2. Description of Services

NuraVolt provides AI-powered energy intelligence services for solar PV systems and battery energy storage systems (BESS), including:

• Real-time monitoring and analytics
• Predictive maintenance and fault detection
• Performance optimization
• Digital twin modeling
• SCADA and BMS integration

3. User Accounts

3.1 Account Creation

You must create an account to use our services. You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

4. Pilot Program Terms

Our 2-month pilot program is subject to the following terms:

• The pilot program is designed to validate our solution with your actual data
• Pricing and terms will be agreed upon before the pilot begins
• Either party may terminate the pilot with written notice
• Data collected during the pilot will be used to demonstrate value and optimize performance
• No long-term commitment is required during the pilot phase

5. Acceptable Use

You agree not to:

• Use our services for any illegal purpose or in violation of any laws
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks
• Use our services to transmit malware, viruses, or harmful code
• Reverse engineer or attempt to extract source code from our software
• Remove or modify any proprietary notices or labels

6. Data and Intellectual Property

6.1 Your Data

You retain all rights to your solar plant data and operational information. By using our services, you grant us a license to process and analyze this data to provide our services.

6.2 Our Intellectual Property

All software, algorithms, models, and technology used in NuraVolt are proprietary to Mokum Tech Ventures IT Consultants FZCO and protected by intellectual property laws.

6.3 Aggregated Data

We may use aggregated, anonymized data for research, product improvement, and industry benchmarking purposes.

7. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to our services. We reserve the right to modify, suspend, or discontinue services with reasonable notice.

8. Payment Terms

• Pricing will be specified in your service agreement or pilot program contract
• Payments are due according to agreed-upon billing cycles
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise specified
• We reserve the right to modify pricing with 30 days notice

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will perform substantially as described in our documentation and marketing materials.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that our services will meet all your requirements or be error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Mokum Tech Ventures IT Consultants FZCO from any claims, losses, damages, liabilities, and expenses arising from your use of our services or violation of these terms.

12. Term and Termination

These terms remain in effect while you use our services. Either party may terminate with written notice according to the terms of your service agreement. Upon termination, you must cease using our services and we will provide reasonable assistance for data export.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Dubai, UAE.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes via email or through our platform. Continued use after changes constitutes acceptance of the updated terms.
